Barilla® Canada Holiday Giveaway Sweepstakes - Official Rules

1. Eligibility: Barilla^® Canada “Holiday Giveaway” Sweepstakes (the “Sweepstakes”) is open only to legal residents of Canada, who are at least legal age of majority in their province or territory of residence at the time of entry. Entrant selected as a winner must provide identification to verify age to be eligible to win. Employees of Barilla Canada, Inc. (“Barilla”), its parent and affiliate companies, as well as the immediate family (spouse, parents, siblings and children) and household members of each such employee are not eligible. The Sweepstakes is subject to all applicable federal, provincial, and local laws and regulations and is void where prohibited. This promotion rewards one entrant who will be randomly chosen from the pool of eligible entries. There will be one grand prize. Barilla reserves the right to grant prizing to the next eligible party who meets all entrant and eligibility requirements if the chosen winner cannot be contacted. To enter for a chance to win, follow or like Barilla Canada on Instagram or Facebook, and comment on the contest post on Instagram or Facebook and tag one friend (multiple entries allowed; one entry per comment or friend tagged). To increase your chances of winning, you can earn ten (10) bonus entries by sharing a rating or review of any recipe from our website barilla.ca. Participant must share a screenshot of the rating or review on social, through tagging @barillacanada or sending the screenshot in a direct message to @barillacanada, in order to receive the ten (10) bonus entries. Participation constitutes entrant’s full and unconditional agreement to these Official Rules and Sponsor’s decisions, which are final and binding in all matters related to the Sweepstakes. Winning a prize is contingent upon fulfilling all requirements set forth herein.

3. Timing: The Sweepstakes begins on Friday, December 2, 2022 at 12:00 p.m. Eastern Time ("ET") and ends on Friday, December 16 at 11:59 p.m. ET (the "Promotion Period"). The Promotion is active for a fifteen (15) day period, as outlined in the chart in section 5.

Sponsor’s computer is the official time-keeping device for the Sweepstakes.

4. How to Enter: There is no purchase necessary to enter the Sweepstakes. Making a purchase will not improve your chances of winning. To enter for a chance to win, follow or like @barillacanada on Instagram or Facebook, and comment on either the Instagram or Facebook post by tagging one friend (multiple entries allowed; one entry per comment or friend tagged). To increase your chances of winning, you can earn ten (10) bonus entries if you share a rating or review of any recipe on the Barilla.ca website. Participant must select “yes” to the question “Did you receive an incentive for this review?” when submitting their review on the Barilla website.

Participant must share a screenshot of the rating or review on social, through tagging @barillacanada or sending the screenshot in a direct message to @barillacanada, in order to receive the ten (10) bonus entries. If selected as winner, entrant MUST provide identification to verify age to be eligible to obtain prize. 

If a potential entrant has any questions or concerns prior to submitting their entry, they may outline them in an email to [email protected]. The entry must fulfill all Sweepstakes requirements mentioned above to be eligible. Entrant can receive one or more (1+) entries to win, plus the ten (10) optional bonus entries. Entries that are incomplete or do not adhere to the rules or specifications may be disqualified at the sole discretion of Sponsor, sponsor affiliates, agencies, and/or partners.

Limit: You may enter more than once (1) in the post comments section (1 post with 1 tag equals 1 entry) and share one (1) screenshot via tag or direct message on social to achieve the ten (10) bonus entries, per the Promotion Period to win. Use of any automated system to participate is prohibited and will result in disqualification. In the event of a dispute as to any registration, the authorized account holder of the email account used to register will be deemed to be the entrant. The “authorized account holder” is the natural person assigned to the email account. All entries and materials associated with your entry must be in accordance with the applicable terms, rules, policies, and guidelines of Instagram.

5. Drawings: All decisions as to the administration and operation of the Sweepstakes and the selection of the potential winners are final and binding in all matters related to the Sweepstakes. One winner will be selected at random, based on chance and the amount of entries submitted (between one (1) and higher). Potential entrants must comment at least one (1) time to be eligible. Winners will be selected in a random drawing on or around December 19, 2022. Winner will be notified via direct message on Instagram or Facebook from Barilla Canada. If a potential winner of the prize cannot be contacted or fails to respond within 3 days (72 hours) of the initial direct message informing them that they have won and asking for verification of age, contact details, shipping address and full name, the potential winner forfeits his/her prize. Before being confirmed as a winner, the potential winners will be required to sign and return, within seventy-two (72) hours of notification, an Affidavit of Eligibility & Liability / Publicity Release form (the “Release"). In addition, the potential winners must correctly answer a time-limited skill-testing question without any assistance in order to become a winner. The skill-testing question may be part of the Release or may be provided separately. Receiving a prize is contingent upon compliance with all these Official Rules. In the event that a potential winner is disqualified for any reason, or if participant is not deemed eligible per the parameters outlined here, the next eligible entrant who meets all the requirements will be selected. If no entrant meets all of the eligibility requirements, the prize may remain un-awarded. Prize pack will be shipped in January, for slated delivery between January 9-13.

6. Prizing:

• ONE (1) grand prize that includes a one-year supply of Barilla pasta, and miscellaneous Barilla merch items. Total prize pack is a $250.00 CAD value. Prize items subject to change.

Prize pack will be shipped direct via UPS.

For Prize: Prize is non-transferable, and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Winner is responsible for all taxes and fees associated with prize receipt and/or use. Odds of winning a prize depend on the number of eligible entries received during the applicable Promotion Period. Limit: one (1) prize per person. Sponsor accepts no responsibility for any variation in the prize value.

7. General Conditions: Sponsor reserves the right to cancel, suspend and/or modify the Sweepstakes, or any part of it, if any fraud, technical failures, human error or any other factor impairs the integrity or proper functioning of the Sweepstakes, as determined by Sponsor in its sole discretion. In such event, Sponsor, in its sole discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance for any or all of the prizes offered herein. Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of the Official Rules of this or any other promotion or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

8. Limitations of Liability: The “Sponsor” is not responsible for: (1) any incorrect or inaccuracies, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Sweepstakes; (4) technical or human error which may occur in the administration of the Sweepstakes or the processing of entries; (5) late, lost, undeliverable, damaged or stolen mail; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Sweepstakes or receipt or use or misuse of any prize. If for any reason an entrant's entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another entry in the Sweepstakes, if it is possible. No more than the stated number of prizes will be awarded. In the event that production, technical, seeding, programming or any other reasons cause more than the stated number of prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to award only the stated number of prizes by a random drawing among all legitimate, un-awarded, eligible prize claims.

9. Release and Indemnity:  By participating, entrant agrees to, releases and holds the “Sponsor” and their respective divisions, affiliates, subsidiaries, officers, directors, employees, agents and representatives (collectively "Releases") harmless from any injury, loss or damage to person, including death, personal injury or loss or damage to property due in whole or in part, directly or indirectly to the acceptance or use/misuse of a prize, participation in any promotion-related activity or participation in the Sweepstakes. Per Instagram’s rules, this giveaway is not associated with Instagram, Inc. in any way and is not sponsored, endorsed, or administered by Instagram, Inc. By entering, you confirm that you are 18+ years of age, you agree with Instagram’s terms of use, and you release Instagram of any responsibility. 

10. Disputes: Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of legal action, and (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys’ fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of Ontario without giving effect to any choice of law or conflict of law rules (whether in Ontario or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the province of Ontario.

11. Entrant's Personal Information: Personal information collected from entrants will be used by Sponsor to administer the Sweepstakes, including to notify the potential winner and to fulfill prizes. 12. Winners List: To obtain a copy of Winners names or a copy of these Official Rules, mail your request along with a stamped, self-addressed envelope to: Barilla (Canada), 140 Allstate Parkway, Unit 200, Markham, ON, Canada, L3R 5Y8. Requests must be received no later than [Dec. 16, 2022, at 11:59 p.m., ET].

13. Social Media: The Sweepstakes hosted by Sponsor is in no way sponsored, endorsed, administered by, or associated with Facebook or Instagram. An active Facebook or Instagram profile are required for entry.

14. By submitting an entry, you, the participant, have affirmatively reviewed, accepted, and agreed to all of these Official Rules.
